What we do

One engagement,four stages.

Most clients meet us at one of them and stay for the rest. Services follow the journey of the business — Enter, Structure, Comply, Operate — not a list of practice areas.

Stage 1

Enter

A licence you can operate, not just hold.

Entering a market starts long before the application. We assess which jurisdiction and which licence category fit the product, align the business plan with what the regulator expects to see, and open the conversation with the regulator ourselves — from first meeting to in-principle approval to grant. We also prepare the two things that stall more launches than any rulebook: the banking relationship and the day-one operating model.

  • Market-entry strategy and jurisdiction selection
  • Licence category analysis and business-plan alignment
  • Applications and regulator engagement, end to end
  • Sandbox, innovation and fintech-lab pathways
  • Banking and payment-rail readiness
Stage 2

Structure

A structure that survives due diligence — by the regulator, the bank and the investor.

A cross-border group has to make sense to four readers at once: the regulator that licenses it, the bank that onboards it, the investor that funds it and the tax authority that assesses it. We design the group, form the vehicles, settle ownership and control, and put substance and governance where each jurisdiction needs it. Then we write the contracts that hold it together.

  • Cross-border group design and holding structures
  • Vehicle formation in the DIFC, ADGM, AIFC and onshore jurisdictions
  • Ownership, control and change-of-control clearances
  • Substance, governance and board arrangements
  • Commercial, intra-group and contractor frameworks
Stage 3

Comply

A compliance function that works on a Tuesday, not only in the manual.

Regulators no longer read policies; they test them. We build AML/CFT frameworks, risk assessments and procedures sized to the business, provide MLRO and compliance-officer support where a team is not yet in place, and run audits and remediation when a review has found gaps. Where tooling helps — onboarding, screening, monitoring, reporting — we configure it to the obligations at hand. RegTech is an instrument here, not a product.

  • AML/CFT frameworks, business-risk assessments, policies and procedures
  • MLRO and compliance-officer support: interim, fractional or advisory
  • Compliance audits, remediation and regulator responses
  • Applied RegTech: onboarding, screening, transaction monitoring and reporting, configured to your obligations
  • Sharia-compliance pathways where the business or investor base requires them
Stage 4

Operate

Continuity.

The licence is the beginning. Rulebooks change, regulators run thematic reviews, and the next market is always closer than it looks. We stay with the business as its outsourced regulatory function or alongside its own, and when it expands, the same team takes it into the next jurisdiction.

  • Ongoing regulatory support and periodic reporting
  • Regulatory change management: new rules, consultations, transition periods
  • Regulator relations, thematic reviews and inspections
  • Expansion into the next jurisdiction with the same team
  • Government relations for public-sector partnerships
The Regulatory Friction Map

Know where your plan will stall — before the regulator tells you.

A two-week diagnostic of your plan, jurisdiction by jurisdiction: a short written map of where it will stall and what to change, and a working session to go through it.
